Terms of Service

1. Acceptance of Terms

By accessing or using TradesOps ("the Service"), operated by TradesOps Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. By creating an account, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement.

These Terms apply to all users of the Service, including organization administrators, employees, subcontractors, and any other individuals granted access to an organization's account.

2. Service Description

TradesOps is a multi-tenant software-as-a-service (SaaS) platform designed for contractors and trade businesses. The Service provides tools for project management, quoting, invoicing, contract management, employee scheduling, time tracking, equipment management, expense tracking, customer relationship management, and related business operations.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes to the Service.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Organization administrators are responsible for managing user access within their organization, including inviting and removing team members, assigning roles, and ensuring that all users within their organization comply with these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the Service or other users.

4. Payment Terms

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are quoted in U.S. dollars unless otherwise specified.

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. Refunds are not provided for partial billing periods.

We process payments through Stripe. By providing your payment information, you authorize us to charge the applicable fees using the payment method on file. You are responsible for keeping your payment information current.

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.

5. Intellectual Property

The Service, including its design, features, code, documentation, and all related intellectual property, is owned by TradesOps Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of all data, content, and materials that you upload, create, or store within the Service ("Your Content"). By using the Service, you grant us a limited license to process, store, and display Your Content solely for the purpose of providing the Service to you.

You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the software, unless applicable law expressly permits such activity.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADESOPS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

7. Termination

You may terminate your account at any time by contacting us or using the account deletion feature in your settings. Upon termination, your right to access the Service will cease immediately.

We may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, a breach of these Terms, non-payment of fees, fraudulent activity, or a request by law enforcement.

Upon termination, we will retain your data for a period of 30 days, during which you may request an export of your data. After this period, we reserve the right to permanently delete all data associated with your account.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Any dispute arising from or relating to the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration in accordance with the rules of the American Arbitration Association.

9. Changes to Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date above. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree to any changes, you should discontinue use of the Service and close your account.
